CURRENT TERMS OF SERVICE

Current Inc, DBA Cavalry (“we”/”us”) make our website, www.cavalryhq.com and our software product, Current available to you on the terms and conditions in these Terms of Service (“Terms”). Download and use of our products and our website (including any information, text, graphics, data, audio and video clips or other materials appearing on the website) is conditional on your acceptance of and compliance with these Terms. You should also read our Privacy Policy which might just be the greatest privacy policy ever and explains what personal information we collect and how it’s used.

Cavalry Product Description

Cavalry is a software product available for download which eliminates the need to search for existing and potential services within a company’s cloud services. Current searches for customers and potential customers that may be at risk of discontinuing the use of a product. Customers of Current can use Current to directly communicate with these “at risk customers” through Current by way of Gmail from Google. The data you transmit via Current is not seen or stored by us and we therefore have no responsibility for it. Your data is stored in your CRM (Customer Relationship Management) services and cloud services used to handle billing, support, analytics, messaging, bulk emailing services and others. Current uses the applications protocol interfaces (API) of the aforementioned services that are provided by said services.

Note: We’re constantly innovating so we reserve the right to alter or update features, functionality and specifications in our products. If we make such changes, they will be available in a new downloadable version of the product and will be subject to these Terms.

Restrictions on Use of Cavalry

We make Cavalry available to you for free or at very low cost if you use the service over a number of times (see further below). In doing so, we’re trusting that you won’t use our time-saving software to do anything unlawful including:

Contravene any applicable laws relating to acceptable online conduct, behavior and content usage;

Engage in any illegal, offensive or unauthorized conduct including:

Hacking, accessing, tampering with our software, systems or the technical delivery systems of our providers and partners;

Promoting bigotry, threaten, discriminate against or impersonate other Current users (based on race, sex, religion, nationality, disability, sexual orientation, age or otherwise);

Probing, scanning, or testing the vulnerability of any system or network or breaching or circumventing any security or authentication measures;

Removing or modifying any copyright, trade mark or other proprietary notice on the Website.

What it Costs

Current is provided to you to download absolutely free and we hope you like the product enough that you’ll be raving about it to your friends and colleagues. Once you install Current, you must connect Gmail and another cloud service where you have at risk customers. If you use Current more than 30 times in a month to send messages to customers, then you will be prompted to pay just $19/month for unlimited messaging.

IP, Rights & Feedback.

Current gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use Current for data transmission purposes on the terms set out in this document. All right, title, and interest in and to Current (excluding any of your data which we never see) are and will remain our exclusive property and the property of our licensors. Our products and our website contents are protected by copyright, trademark, and other laws of both Canada and foreign countries. You have the right to use the Current name if you are promoting us to your friends and community but any other uses should be agreed with us in advance.

We really value our feedback, comments and suggestions but any feedback you provide is totally voluntary. If you do provide feedback/comments/suggestions, you agree that we can use any feedback, comments or suggestions as we see fit and without any obligation to you.

IMPORTANT LEGAL TERMS

To make our website and Current available to you, you understand and agree that we are doing so on an “AS IS” and “AS AVAILABLE” basis. This means that we don’t provide any warranties or give any guarantees (eg. that Current is fit for a particular purpose). We will not be responsible or liable for any harm to your computer system, loss of data, or other harm that results from your access to or use of the website or Current although we expect the risk of anything like that to be extremely low. You also agree that we have no responsibility or liability for the deletion of, or the failure to store or to transmit, any data and other communications transmitted via Current. We make no warranty that the website or Current will meet your requirements or be available on an uninterrupted, secure, or error-free basis. No advice or information, whether oral or written, obtained through the website or otherwise will create any warranty not expressly made herein.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Current Inc. AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOOD-WILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE WEBSITE OR Current; (ii) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT BY THIRD PARTIES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT Current HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.

General

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect. These Terms and any action related thereto will be governed by the laws of the The State of Delaware without regard to or application of its conflict of law provisions or your province or country of residence. All claims, legal proceedings or litigation arising in connection with the Services will be brought solely in Delaware, USA and you consent to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum. These Terms and our Privacy Policy are the entire agreement between us regarding the use of our Website and Current. We may revise these Terms from time to time and the most current version will always be at tos.connectcurrent.com. If the revision, in our sole discretion, is material we will notify you via an update or e-mail to the email associated with your account. By continuing to access or use the Website and Services after those revisions become effective, you agree to be bound by the revised Terms.
